Terms & Conditions

The terms and conditions stated herein (collectively, the “Agreement”) constitute a legal agreement between you and SHADOWMILES LLP , henceforth referred to as SHADOWMILES.COM, a private limited liability company. In order to use the SHADOWMILES.COM services, you must agree to the terms and conditions that are set out below.  

SHADOWMILES.COM “online” (i.e. web and mobile services, which includes web sites operated by SHADOWMILES.COM, however accessed and/or used via personal computers, mobile devices or otherwise) and “offline” (i.e. collection of data through electronic or surface mailings, telephone, or in person) activities owned, operated, provided, or made available by the company. SHADOWMILES.COM “online” and “offline” activities are collectively termed as the “Services”.

By using or receiving any Services supplied to you by the company, you hereby expressly acknowledge and agree to be bound by the terms and conditions of the agreement, and any future amendments and additions to this agreement as published from time to time through the Services.

The company reserves the right to modify the terms and conditions of this agreement or its policies relating to the service or software at any time, effective upon posting of an updated version of this agreement on the service or software. You are responsible for regularly reviewing this agreement. Continued use of the service or software after any such changes shall constitute your consent for such changes.

Eligibility and Use
You must be at least 18 years old to use SHADOWMILES. By using SHADOWMILES.COM services, you represent and guarantee that you have the right authority and capacity to enter into this agreement and to abide by the terms and conditions of this agreement. Your participation in using the services is for your sole personal use. You may not authorize others to use your user status, and you may not assign or otherwise transfer your user account to any other person or entity. You may only access the services using authorized means.

The Site, application and services comprise of a mobile and web platform through which requesters may choose and post products/accompanying members to buy/ship/accompany from overseas or locally. A Traveler with the mutual consent on the final price agreed on the deal to buy and/or bring back the product or person from overseas. SHADOWMILES.COM is not a transportation agency, retailer or distribution of the above-mentioned products and/or accompanying service and has no control over the conduct of the requesters and travelers.

2. Interactions Between Users

You are exclusively responsible when interacting with other members/users. Our services provide a platform for members/users to list their shipping/buying/accompanying requests, items they wish to have delivered to them, or to identify items to be shipped on their commute path. SHADOWMILES.COM is not a party to, has no involvement or interest in, makes no representations or warranties as to, and has no responsibility or liability with respect to any communications, transactions, interactions, disputes or any relations whatsoever between you and any other member, person or organization. We reserve the right, but have no obligation, to monitor interactions between you and other members/users of our Services. SHADOWMILES.COM offers you a platform to identify requests and to interact with other members/ users, and we urge you to use good judgment and always keep safety in mind when you use our services.  
Identity Verification: We do not investigate or verify any member’s criminal background at the current time, nor any information members may submit to the services. We encourage you to take precautions when interacting with other members, particularly when meeting a stranger in person.  
Release: Because our services are merely a platform, in the event that you have a dispute with one or more members/users, you release us (and our officers, directors, members, employees, agents and affiliates) from claims, demands and damages (actual, compensatory, liquidation, punitive, nominal and/or restitutionary) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. You also understand and agree that any action or inaction by SHADOWMILES.COM or any of our officers, directors, members, employees, agents and affiliates to prevent, restrict, redress or regulate content, or to implement other enforcement measures against any content, conduct or potential violation of these terms is undertaken voluntarily and in good faith, and you expressly agree that we shall not be to you or anyone else for any action or inaction to prevent, restrict, redress, or regulate content, or to implement other enforcement measures against any content, conduct or potential violation of these terms.

3. Accompanying Family Members or Travel Companions

This clause applies to both Travelers who are/is accompanying others (such as family members, or any related members of Senders), as well as Senders who sends their family member(s) or known persons to travel with a Traveler through SHADOWMILES.

If you are a Traveler:

You agree to accompany the family member or individual as per the Sender’s request at your own risk and discretion.
You are responsible for ensuring the person’s safe transit, but SHADOWMILES/ or SENDERS does not consider you a caregiver or legal guardian.
You are expected to exercise reasonable care, but SHADOWMILES/SENDERS does not hold you liable for unforeseen health issues, emergencies, or behavior of the accompanying individual.
You must not permit the accompanying person to interfere with any delivery responsibilities, and you remain liable for delivery commitments.

If you are a Sender:

You are solely responsible for ensuring that the person you request to travel with a Traveler is medically and legally fit to travel.
You must clearly communicate expectations to the Traveler in advance.
You accept all risks associated with the safety, behavior, and well-being of the individual being accompanied.

SHADOWMILES acts solely as a platform to connect Travelers and Senders and assumes no liability for any incident, injury, delay, misconduct, or dispute that may arise from an accompanying individual during travel. All parties are urged to mutually agree on clear terms and confirm consent in writing/verbal/trust prior to the journey.

4. Member/User content restrictions

You are exclusively responsible for any Member Content that you submit, post or transmit via our Services. You agree not to post, upload to, transmit, distribute, store, create or otherwise publish Content that we believe, in our sole discretion:

Is unlawful, libelous, defamatory, harassing, threatening, invasive of privacy or publicity rights, or that would otherwise create liability or violate any local, state, national or international law.
Contains nudity, sexually explicit content or is otherwise obscene, pornographic, indecent, lewd, suggestive or sexually exploitative of minors.
May disparage any ethnic, racial, sexual or religious group by stereotypical depiction or is otherwise abusive or inflammatory.
Depicts or promulgates the use of illicit drugs.
Contains offensive language or images or is otherwise objectionable.   Incites violence or characterizes violence as acceptable, glamorous or desirable.
Contains unsolicited promotions, political campaigning, advertising or solicitations, without our prior written consent.
Contains private or personal information about another person, unless such person has agreed to the disclosure of this information.
Contains viruses, corrupted data or other harmful, disruptive or destructive file viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology.
May infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party. By posting Member Content, you represent and warrant that you have the lawful right to distribute and reproduce such Member Content or
Would constitute, encourage or provide instructions for a criminal offense or violate the rights of any third party. SHADOWMILES.COM is not responsible for any Member Content that you or other members post, transmit or store through the Services. We have no obligation to post Member Content from you or anyone else and we may, in our sole discretion, edit, remove or delete any Member Content without notice. Enforcement of these Terms, however, is solely in our discretion and the absence of enforcement in some instances does not waive our right to enforce the Terms in other instances. In addition, these Terms do not create a private right of action on the part of any third party or any reasonable expectation that the Services will not contain any content that is prohibited by such rules.

5. Proper Conduct (Members/Users)

1. You understand and agree that you are solely responsible for compliance with any and all laws, rules, regulations, and Tax obligations that may apply to your use of the Site, Application, Services and Content. In connection with your use of our Site, Application and Services, you may not and you agree that you will not:  
2. Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by SHADOWMILES.COM or any of SHADOWMILES.COM’s providers or any other third party (including another user) to protect the Site, Services, Application or Collective Content  
3. Violate any local, state, provincial, national, or other law or regulation, or any order of a court, including, without limitation, zoning restrictions and Tax regulations  
4. Use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” or “spider” any web pages or other services contained in the Site, Application, Services or Content  
5. Use the Site, Application or Services for any commercial or other purposes that are not expressly permitted by these Terms  
6. Copy, store or otherwise access any information contained on the Site, Application, Services or Content for purposes not expressly permitted by these Terms  
7. Infringe the rights of any person or entity, including without limitation, their intellectual property, privacy, publicity or contractual rights  
8. Interfere with or damage our Site, Application or Services, including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology  
9. Use our Site, Application or Services to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, photographs of others without their permission, personal contact information or credit, debit, calling card or account numbers   
10. Use our Site, Application or Services in connection with the distribution of unsolicited commercial email (“spam”) or advertisements unrelated to lodging in a private residence  
11. “Stalk” or harass any other user of our Site, Application, or Services or collect or store any personally identifiable information about any other user other than for purposes of transacting as an SHADOWMILES.COM Traveler and Requester  
12. Contact a Requester for any purpose other than asking a question related to a Deal, such Requester’s request to carry or Trips  
13. Contact a Traveler for any purpose other than asking a question related to a deal or such Traveler’s use of the Site, Application and Services  
14. When acting as a visitor or otherwise, recruit or otherwise solicit any Member to join third party services or websites that are competitive to SHADOWMILES.COM, without SHADOWMILES.COM’s prior written approval  
15. Impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity  
16. Use automated scripts to collect information or otherwise interact with the Site, Application or Services  
17. Use the Site, Application and Services to find a Requester or Traveler and then complete a booking of a Deal transaction independent of the Site, Application or Services in order to circumvent the obligation to pay any Service Fees related to SHADOWMILES.COM’s provision of the Services  
18. As a Traveler, submit any Listing with a false or misleading price information, or submit any Listing with a price that you do not intend to honor
19. Post, upload, publish, submit or transmit any Content that:
  1. Infringes, misappropriates or violates any law. Such as a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy.
  2. Violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability
  3. Is fraudulent, false, misleading or deceptive
  4. Is defamatory, obscene, pornographic, vulgar or offensive.
  5. Promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group.
  6. Is violent or threatening or promotes violence or actions that are threatening to any other person.
  7. Promotes illegal or harmful activities or substances  
20. Systematically retrieve data or other content from our Site, Application or Services to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, or spiders, or otherwise  
21. Use, display, mirror or frame the Site or Application, or any individual element within the Site, Services, or Application, SHADOWMILES.COM name, any SHADOWMILES.COM trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without SHADOWMILES.COM’s express written consent  
22. Access, tamper with, or use non-public areas of the Site or Application, SHADOWMILES.COM ’s computer systems, or the technical delivery systems of SHADOWMILES.COM ‘s providers; attempt to probe, scan, or test the vulnerability of any SHADOWMILES.COM system or network or breach any security or authentication measures.  
23. Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site, Services, Application or Collective Content; or advocate, encourage, or assist any third party in doing any of the foregoing 
24. Hold SHADOWMILES.COM, the Traveler, or any other party responsible for any refund or issue related to items that are undelivered or uncollected. It is the sole responsibility of the Requester to collect the item from the Traveler’s destination point. Alternatively, the Sender may request the Traveler to send the item through a local courier after reaching its destination. Any courier charges or arrangements in such cases are strictly between the Traveler and the Sender communication and understanding. SHADOWMILES.COM does not take any responsibility for these discussions, charges, or the condition of the parcel handled by a third-party courier. Responsibility for the parcel lies entirely with the courier company, and SHADOWMILES and the Traveler hold no liability once the item is couriered. The same applies to any accompanying members traveling with the Traveler. Once the Traveler reaches the destination with accompanying member, it is solely the Requester’s responsibility to receive and care for the accompanying member. The Traveler or SHADOWMILES.COM bears no further responsibility or liability after reaching the agreed drop-off point.

6. Third-Party Content

In using our Services, you could be exposed to content from other members or third parties ( “Third-Party Content” ), either on our Services or through links to third-party websites. We do not control, endorse or adopt any Third-Party Content and shall have no responsibility for Third-Party Content, including without limitation material that may be misleading, incomplete, erroneous, offensive, indecent or otherwise objectionable. You must evaluate, and bear all risks associated with, Third-Party Content, including without limitation, profiles of other members of our Services. We incorporate Google Maps into the Services as a convenience to you. By using this feature of the Services, you agree to be bound by Google’s Terms of Use.

7. Service Changes

SHADOWMILES.COM may, in its sole and absolute discretion, discontinue, suspend or modify your and /or any other user’s access to the company’s services or any portion thereof at any time with or without notice and/or for any other reason. The company reserves the right to terminate this agreement should you be using the services in an incompatible or unauthorized manner.

8. Intellectual Property

The company alone (and its licensors, where applicable) shall own all right, title and interest, including all related intellectual property rights, in and to the services and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the services. The company name, the company logo, and the product names associated with the services are trademarks of the company.

9. Member’s Representations and Warranties

1. You hereby represent and warrant that you have the full power and authority to enter into and perform under these Terms. If you are using our Services on behalf of any entity, you represent and warrant that you are authorized to accept these Terms on such entity’s behalf.
2. You hereby represent and warrant that you will use our Services in a manner consistent with any and all applicable local, state, national and international laws and regulations.

10. Payments and Refunds

1. The Sender agrees to pay the agreed amount to the Traveler as discussed and negotiated between them. Payment may be made either upfront or after delivery, based on their mutual agreement.
2. Both Senders and Travelers are required to pay SHADOWMILES.COM’s service fee and any applicable payment gateway charges to access contact details of the other party.
3. Once a Traveler confirms the completion of a delivery, SHADOWMILES.COM considers the transaction between the parties as complete. SHADOWMILES is not liable for any payment-related disputes—settlement is solely based on the understanding between the Sender and Traveler.
4. If either the Traveler or the Sender cancels the delivery, fails to complete it, or declines a request, SHADOWMILES.COM’s service fee will be refunded (excluding any non-refundable charges). Alternatively, SHADOWMILES.COM may provide details of other available Travelers or Senders on the same route, depending on the mutual agreement between SHADOWMILES and the party.
5. SHADOWMILES is not responsible for any lost, damaged, or unclaimed items once a delivery is marked as completed. Any disputes over such issues must be resolved privately between the Traveler and the Requester. SHADOWMILES will not refund the service fee in such cases.
6. In case of any disputes, SHADOWMILES may assist in mediation; however, our decision will be final and binding.

11. Disclaimers

1. Use at Your Own Risk  By using SHADOWMILES.COM and its services, you understand and agree that you are doing so at your own risk. All services are provided “as is” and “as available,” without any warranties of any kind—express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
2. No Guarantees

We do not make any promises or guarantees that:

Our services will meet your expectations or requirements.
The platform will operate without interruption, delays, security issues, or errors.
Any information obtained through the platform will be accurate, complete, or reliable.
Products, services, or information purchased or accessed through our platform will meet your expectations.
Your data will never be disclosed to third parties.
Any technical or content-related errors will be corrected.
3. Content Risks  If you access or share any content through SHADOWMILES.COM, you do so voluntarily and at your own risk. You are fully responsible for any potential damage or data loss resulting from such actions. We strongly recommend using reliable antivirus or security software when downloading or sharing files.
4. No Additional Warranties  Any information, advice, or communication—whether verbal or written—that you receive from SHADOWMILES or through our services does not create any warranty unless clearly stated in these Terms.

12. Limitation of Liability

1. No Liability for Damages  In no event shall SHADOWMILES.COM, or its directors, employees, agents, or partners be held liable for any direct, indirect, incidental, special, or consequential damages. This includes, but is not limited to, loss of data, loss of profits, loss of business, or any other type of loss—even if we have been informed of the possibility of such damages. This applies to situations arising from, but not limited to:
  1. Your use of or inability to use our services
  2. The cost of replacement goods or services due to transactions made through the platform
  3. Unauthorized access to, disclosure of, or changes to your content or information
  4. Any data corruption, service interruptions, or technical issues
  5. Actions or statements made by third-party service providers using the platform
  6. Any interactions or communications—online or offline—with other users of the platform, including any resulting harm, injury, emotional distress, or death
  7. Any other claim, issue, or dispute connected to your use of SHADOWMILES.COM
2. Force Majeure  We are not responsible for any delay or failure to perform our obligations under these Terms if such delay or failure is caused by events beyond our reasonable control. This includes natural disasters, internet outages, strikes, government restrictions, or other unforeseen circumstances.
3. Jurisdictional Limits  Some regions or jurisdictions may not allow the exclusion or limitation of certain warranties or liabilities. In such cases, portions of this section may not apply to you as restricted by local law.

13. Indemnity

You agree to defend, indemnify, and hold harmless SHADOWMILES.COM and its officers, directors, employees, agents, and affiliates from and against any claims, demands, actions, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

your use of the SHADOWMILES.COM platform or services;
any content or submissions you share or provide;
your violation of these Terms;
your infringement of any rights of another person or entity; or
your conduct in connection with the use of our services.

If you are using SHADOWMILES.COM on behalf of a company, organization, or other legal entity, you confirm that you have the authority to bind that entity and that the entity agrees to indemnify both you and SHADOWMILES.COM for any violations of these Terms.

In the event you are required to indemnify SHADOWMILES.COM, we reserve the right—at our sole discretion—to assume control over the legal defense or settlement of any matter, and to decide whether and how to resolve it.

14. Dispute Resolution

If there’s a disagreement between you and SHADOWMILES.COM:

You agree to try resolving it informally first.
If that fails, disputes will be handled through arbitration in Kathmandu, Nepal.
You waive the right to bring class action lawsuits or participate in class arbitrations.

15. General Terms

1. Entire Agreement  These Terms represent the complete and final agreement between you and SHADOWMILES.COM regarding the subject matter herein. They override any prior or concurrent understandings, agreements, or communications between the parties.
2. Waiver  If SHADOWMILES.COM chooses not to enforce any part of these Terms at any time, it does not mean we waive our right to enforce it later.
3. Severability  If any part of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions will continue to be fully effective and enforceable.
4. Assignment  You may not transfer or assign any of your rights or responsibilities under these Terms without prior written consent from SHADOWMILES.COM. We reserve the right to transfer or assign any or all of our rights and obligations under these Terms without your consent.
